ORXTERA TERMS OF SERVICE — v2

1. About These Terms

These Terms of Service (“Terms”) govern access to and use of Orxtera, a commerce technology platform developed and operated by Shohnatex LLC, Egypt.

References to “Orxtera,” “Shohnatex,” “we,” “us,” or “our” refer to Shohnatex LLC.

References to “Business,” “Customer,” “you,” or “your” refer to the organization that creates or uses an Orxtera account and, where applicable, the person authorized to act on its behalf.

By creating an Orxtera organization, subscribing to a plan, or using the Service, the Business agrees to these Terms.

If an individual accepts these Terms on behalf of an organization, that individual represents that they have authority to bind the organization.

Orxtera is intended primarily for business use.

2. The Service

Orxtera provides software and related services that may include:

commerce operations;

customer conversations;

AI-assisted functionality through Nader;

storefront tools;

order workflows;

COD confirmation;

fulfillment workflows;

reporting and business intelligence;

team and permission management;

integrations with external platforms;

campaign or growth tools;

other commerce functionality made available from time to time.

Features may differ by plan, account type, business sector, region, rollout status or integration availability.

The presence of a feature in documentation or marketing does not guarantee that it is immediately available to every account.

3. Business Accounts

An Orxtera organization belongs to the Business, not to the individual user who created it.

The Business is responsible for:

keeping account information accurate;

maintaining secure credentials;

controlling who has access;

promptly removing access when no longer required;

activity performed through authorized accounts;

ensuring its use of Orxtera is lawful.

The Business must notify Shohnatex promptly if it reasonably believes an account or credential has been compromised.

4. Team Members, Roles and Authority

The Business may allow team members to access Orxtera.

Account owners or authorized administrators may assign:

roles;

data scopes;

access modes;

permissions;

approval limits;

Nader authority levels.

The Business is responsible for configuring these permissions appropriately.

Orxtera may enforce or revalidate permissions server-side before sensitive actions are executed.

Actions taken by authorized users within their granted scope are treated as actions of the Business.

5. Business and Customer Data

The Business retains its rights in information it provides to Orxtera, including its:

business information;

catalog;

brand assets;

customer information;

conversations;

orders;

business policies;

operational data.

The Business grants Shohnatex the limited rights necessary to host, process, transmit, transform and otherwise use that data solely as reasonably necessary to provide, secure and operate Orxtera and as otherwise described in the Privacy Policy.

The Business is responsible for ensuring that it has the rights and lawful basis necessary to provide and process data through Orxtera.

6. Privacy and Data Protection

Use of personal data through Orxtera is subject to the Orxtera Privacy Policy:

The Business is responsible for its own notices, consents and other obligations toward its customers where required by applicable law.

Where Shohnatex processes customer information on behalf of a Business, the parties’ respective roles may depend on the processing activity and applicable law.

7. Merchant Isolation

Orxtera is designed to logically separate private business data between organizations.

A Business may not attempt to:

access another organization’s data;

bypass tenant isolation;

obtain another Business’s conversations, customers, catalog, orders or commercial memory;

interfere with authorization controls.

Any attempt to circumvent these boundaries may result in immediate suspension.

8. Nader and AI-Assisted Features

Orxtera includes AI-assisted functionality, including Nader.

Nader may, depending on configuration and permissions:

summarize information;

classify conversations;

prepare drafts;

identify signals;

generate recommendations;

organize work;

propose actions;

assist with storefront content;

analyse performance;

execute configured actions where expressly authorized.

AI-generated content may be incomplete, inaccurate, inappropriate or based on incomplete information.

The Business is responsible for determining when human review is required.

Enabling AI functionality does not provide Nader unrestricted authority.

The Business controls the level of authority granted to Nader through available product controls or another supported process.

9. Automated Actions

Certain Orxtera functions may perform actions automatically where the Business has expressly enabled or configured that workflow.

Examples may include routine responses, operational workflows, confirmations, notifications or other configured actions.

The Business is responsible for reviewing:

the authority granted;

the applicable rules;

approval limits;

connected accounts;

automation settings.

Where an action requires approval under the configured authority model, Orxtera may prevent execution until the required approval is obtained.

10. AI Training and Business Data

Shohnatex does not use a Business’s private customer records, conversations, catalog, orders or merchant-specific business memory to train general-purpose or shared AI models for other businesses unless that Business separately and explicitly authorizes such use.

Information received through third-party APIs remains subject to any stricter provider-specific restrictions.

Google Workspace data, for example, is subject to additional limitations on advertising use, transfers, human access and general/shared model training.

11. Third-Party Integrations

Orxtera may support integrations with external services.

The Business is responsible for:

having authority to connect the external account;

complying with that provider’s terms;

granting only appropriate permissions;

maintaining the external account where required.

Third-party providers control their own services.

Shohnatex does not guarantee that a third-party integration will remain available, unchanged or uninterrupted.

Providers may:

change APIs;

change pricing;

restrict access;

change permissions;

experience outages;

discontinue functionality.

Such changes may affect Orxtera features that depend on them.

12. Platform-Specific Requirements

Where a connected provider imposes data-use, security, authorization or deletion requirements stricter than these Terms, the stricter applicable provider requirements govern our use of data received through that provider.

This includes applicable requirements of Google API Services and Google Workspace APIs.

The Business must also comply with applicable provider terms when using those integrations.

Client authorization does not override Meta Platform Terms, Developer Policies or applicable platform restrictions. The general AI, training, shared-model consent and campaign provisions of these Terms remain subordinate to those restrictions for Meta Platform Data.

13. Messaging and Communications

The Business is responsible for communications sent through Orxtera on its behalf.

The Business must comply with:

applicable communication and marketing laws;

consent requirements;

opt-out requirements;

platform messaging rules;

anti-spam requirements.

Orxtera must not be used to send unlawful, deceptive, abusive or prohibited messages.

14. Advertising and Campaigns

Where supported, Orxtera may help a Business prepare, execute or analyse advertising and marketing campaigns.

The Business remains responsible for:

campaign content;

targeting choices;

lawful audience use;

budgets;

offers;

advertising-account compliance;

compliance with advertising-platform policies.

Shohnatex does not guarantee:

campaign approval;

specific reach;

revenue;

ROAS;

profitability;

conversion rate;

customer acquisition results.

Data originating from services that prohibit advertising use, including applicable Google Workspace data, must not be used for prohibited campaign purposes.

15. Regulated Businesses and Products

A Business is responsible for determining whether its goods, services, marketing and use of Orxtera are lawful.

Businesses operating in regulated sectors remain responsible for applicable professional, licensing, safety, advertising and consumer-protection requirements.

Orxtera does not replace required professional judgment.

Nader’s output is not medical, legal, financial or other regulated professional advice unless a separately offered service expressly states otherwise and the necessary legal requirements have been satisfied.

16. Acceptable Use

You may not use Orxtera to:

violate applicable law;

commit or facilitate fraud;

impersonate another person or organization;

distribute malware;

attack or interfere with systems;

bypass security or access controls;

attempt to access another tenant;

scrape or extract data without authorization;

send prohibited spam;

knowingly provide unlawful content;

use connected platforms contrary to their terms;

infringe intellectual-property or privacy rights;

use the Service in a way that materially harms Orxtera or other users.

Shohnatex may investigate suspected violations.

17. Fees and Subscriptions

Certain Orxtera features may require a paid subscription or usage-based charges.

The applicable:

price;

billing cycle;

included usage;

usage limits;

applicable modules;

overage or additional usage charges,

will be displayed or agreed when the Business subscribes.

Unless otherwise stated, fees are payable in advance.

Taxes, governmental charges or similar amounts may be added where applicable.

18. Renewals and Plan Changes

Where a subscription renews automatically, the renewal terms will be disclosed at subscription.

The Business may change or cancel a plan using available account controls or another supported cancellation process.

Plan changes may affect:

available features;

usage allowances;

stored configurations;

integration access.

We may change prices or plans.

Where a change affects an existing paid subscription, reasonable notice will be provided before the change takes effect where required or commercially appropriate.

19. Refunds

Except where required by law or expressly stated in an applicable order, plan or commercial agreement, fees already paid are generally non-refundable.

A refund policy specific to a plan, promotion or commercial agreement will control where it conflicts with this section.

20. Early Access, Preview and Beta Features

Features identified as:

Early Access;

Preview;

Beta;

Experimental;

In Development,

may be incomplete, change materially, contain defects or be discontinued.

Such features may not have the same support, availability or reliability expectations as generally available features.

The Business should not depend on a preview feature for a critical operation unless it accepts those limitations.

21. Service Changes

Shohnatex may modify Orxtera to:

improve functionality;

respond to platform/API changes;

address security issues;

comply with law;

retire obsolete functionality;

introduce new products or commercial models.

Where a material change significantly affects a paid generally available feature, we will use reasonable efforts to provide appropriate notice.

22. Availability

We aim to provide a reliable service, but Orxtera is not guaranteed to be uninterrupted or error-free.

Service may be affected by:

maintenance;

infrastructure failures;

third-party outages;

internet connectivity;

platform API changes;

security incidents;

force majeure events.

Specific service-level commitments apply only where separately agreed in writing.

23. Intellectual Property

Shohnatex owns or licenses the rights in:

Orxtera software;

Nader;

Orxtera branding;

website materials;

platform design;

documentation;

technology developed by Shohnatex.

These Terms do not transfer ownership of those rights.

The Business retains its rights in its own:

trademarks;

product content;

catalog;

images;

business information;

customer data.

24. Feedback

If the Business voluntarily provides feedback, suggestions or product ideas, Shohnatex may use that feedback to improve Orxtera without obligation to compensate the Business.

This does not grant Shohnatex ownership of the Business’s confidential data or proprietary business information.

25. Confidentiality

Each party may receive non-public information from the other that is reasonably understood to be confidential.

Each party agrees to use such information only for the purposes of the relationship and to take reasonable measures to protect it.

Confidential information does not include information that:

becomes public without breach;

was already lawfully known;

is independently developed without use of confidential information;

is lawfully received from another source.

Disclosure may be made where required by law, subject to applicable legal requirements.

26. Security Responsibilities

Shohnatex uses technical and organizational measures designed to protect Orxtera.

The Business remains responsible for:

securing its own devices;

protecting credentials;

controlling team access;

reviewing connected integrations;

avoiding unauthorized sharing of access tokens or credentials.

No internet-connected service can guarantee absolute security.

27. Suspension

Shohnatex may suspend access where reasonably necessary because of:

non-payment;

material breach of these Terms;

security risk;

suspected fraud;

unlawful use;

abuse of third-party integrations;

risk to Orxtera, another user or a third party;

legal or regulatory requirement.

Where practical and appropriate, Shohnatex may provide notice and an opportunity to remedy the issue.

Immediate suspension may occur where delay could increase harm or risk.

28. Termination by the Business

The Business may terminate or cancel its use of Orxtera through available account controls or another supported process.

Termination does not automatically eliminate:

amounts already due;

lawful retention obligations;

independently held third-party data.

Data handling after termination is governed by the Privacy Policy and Data Deletion process.

29. Termination by Shohnatex

Shohnatex may terminate an account for:

material or repeated breach;

prolonged non-payment;

unlawful activity;

serious security risk;

abuse of the platform;

circumstances making continued provision unlawful or technically unreasonable.

Where reasonable, notice may be provided.

30. Disclaimers

To the maximum extent permitted by applicable law, Orxtera is provided on an “as available” basis.

Shohnatex does not guarantee:

uninterrupted operation;

error-free results;

availability of every integration;

correctness of every AI output;

achievement of a KPI;

higher sales;

reduced returns;

successful delivery;

detection of every fraudulent order;

successful campaigns;

particular profit levels.

Commercial outcomes depend on factors outside Shohnatex’s control.

31. Limitation of Liability

To the maximum extent permitted by applicable law, Shohnatex will not be liable for indirect, incidental, special, punitive or consequential loss arising from use of the Service, including lost profits, lost revenue, lost opportunities or loss of data.

Except for liability that cannot lawfully be limited, Shohnatex’s total aggregate liability arising out of or relating to the Service will not exceed the total fees actually paid by the Business to Shohnatex for Orxtera during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where applicable law does not permit that exclusion or limitation.

32. Business Indemnity

To the extent permitted by applicable law, the Business will indemnify and hold Shohnatex harmless against third-party claims, losses or reasonable costs arising from:

unlawful content supplied by the Business;

infringement caused by materials supplied by the Business;

unlawful processing of customer data by the Business;

unauthorized connection of third-party accounts;

campaigns, offers or communications initiated by the Business;

material breach of these Terms.

This section does not apply to the extent a claim results from Shohnatex’s own unlawful conduct.

33. Third-Party Claims and Services

Shohnatex is not responsible for the independent acts, terms, availability or data practices of third-party services merely because Orxtera integrates with them.

Nothing displayed in Orxtera should be interpreted as a partnership, endorsement or certification unless explicitly stated and verified.

34. Force Majeure

Neither party will be responsible for delay or failure caused by events reasonably beyond its control, including major internet or telecommunications failures, natural disasters, war, governmental action, widespread infrastructure outages or third-party platform failures.

This does not excuse payment obligations already due.

35. Notices

Operational notices may be delivered through:

the Orxtera product;

the account email address;

the website;

another communication channel associated with the Business.

The Business is responsible for keeping its contact information current.

36. Changes to These Terms

Shohnatex may update these Terms to reflect:

changes to Orxtera;

new features;

legal requirements;

security requirements;

commercial changes.

The current version will show its effective or last-updated date.

Where a material change affects an existing paid customer, additional notice may be provided where appropriate or legally required.

Continued use after an effective change may constitute acceptance where permitted by applicable law.

37. Assignment

The Business may not transfer its rights or obligations under these Terms without Shohnatex’s prior written consent, except as permitted by applicable law or an agreed corporate transaction.

Shohnatex may assign these Terms in connection with a restructuring, merger, acquisition, financing or transfer of the relevant business or assets, subject to applicable law.

38. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in effect to the extent permitted by law.

39. Waiver

Failure to enforce a provision does not waive the right to enforce it later.

40. Entire Agreement

These Terms, together with the Privacy Policy, applicable subscription terms, order forms and other expressly incorporated terms, constitute the agreement governing use of Orxtera unless the parties sign a separate agreement that states otherwise.

Where a signed commercial agreement conflicts with these Terms, the signed agreement controls for that Business to the extent of the conflict.

41. Survival

Provisions that by their nature should continue after termination remain in effect, including provisions relating to:

payment obligations;

intellectual property;

confidentiality;

liability;

indemnity;

dispute resolution;

lawful data retention.

42. Governing Law and Jurisdiction

These Terms are governed by the laws of the Arab Republic of Egypt, without prejudice to mandatory rights that cannot lawfully be excluded.

The parties should first attempt in good faith to resolve disputes commercially.

Where a dispute cannot be resolved, it will be submitted to the competent courts of the Arab Republic of Egypt, unless another binding written agreement between the parties provides otherwise.

43. Language

These Terms may be made available in Arabic and English.

The versions are intended to communicate materially equivalent terms.

If a discrepancy or ambiguity arises between translations, the English version will control, to the extent permitted by applicable law, unless a separately signed agreement states otherwise.
